GetYourGrooveOn End User License Agreement (EULA)

1. License Grant

Subject to your compliance with this Agreement, GYGO grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for personal or commercial audio production purposes.

This license does not constitute a sale. The Software is licensed, not sold.

2. Permitted Use

You may:

• Use the Software to create, record, produce, mix, and distribute audio works.
• Use the Software in personal, professional, or commercial music productions.
• Install the Software on machines you personally own or control, subject to activation limits.

Audio output created using the Software is entirely yours and may be freely distributed.

3. Restrictions

You may not:

• Copy, distribute, sell, rent, lease, sublicense, or transfer the Software or your license.
• Share your account, serial number, or activations with others.
• Circumvent, disable, or interfere with licensing, activation, or security mechanisms.
• Reverse engineer, decompile, disassemble, or attempt to derive source code.
• Modify, adapt, translate, or create derivative works of the Software.
• Use the Software in any unlawful or infringing manner.

4. Account, Licensing & Activations

Use of the Software requires an active GetYourGrooveOn user account.

Unless otherwise stated at the time of purchase:

• Each license permits up to two (2) simultaneous activations.
• Activations are tied to specific machines.
• You may deactivate machines through the GYGO portal.

GYGO reserves the right to limit, suspend, or revoke activations in cases of abuse, fraud, or violation of this Agreement.

5. Updates & Changes

GYGO may provide updates, patches, or new versions of the Software. Updates may modify or remove features. Continued use of updated Software constitutes acceptance of any updated terms.

GYGO is not obligated to maintain or support any specific version.

6. Ownership

The Software, including all code, graphics, interfaces, sounds, and documentation, is owned by GYGO and protected by copyright and other intellectual property laws.

Except for the limited license granted herein, no rights are granted to you.

7. Termination

This Agreement is effective until terminated.

GYGO may terminate or suspend this license immediately if you breach this Agreement. Upon termination, you must cease all use of the Software and uninstall all copies.

Sections relating to ownership, restrictions, disclaimers, and liability shall survive termination.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

GYGO DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH ALL SYSTEMS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GYGO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO USE OF THE SOFTWARE.

IN NO EVENT SHALL GYGO’S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

11. Severability

If any provision of this Agreement is held to be unenforceable, the remaining provisions shall remain in full force and effect.
